MINIMUM ORDER:

There is no minimum opening order requirement, however, orders under $500 will be subject to a handling fee.

BACKORDERS:

All Back ordered items will remain open until shipped complete or canceled in writing by the customer.

REQUIRED INFORMATION FOR ALL ORDERS:

• Complete Company Name
• Purchase Order # or Identifier
• Ship to Address: Please note if it is a residential address.
• (NOTE: residential deliveries will incur higher shipping charges and possible handling fees for liftgate services)
• If commercial delivery, please indicate whether an appointment or a lift gate will be necessary (Additional charges may apply)

PAYMENTS:

We accept the following forms of payment. Please note that new accounts default to credit card terms unless other terms have been requested.

• Credit cards - we accept MC, VISA, Discover and AMEX. Please note that a 3% credit card processing fee will be charged for credit card payments made after 1/1/24.
• Check and Wire Transfers- these are considered forms of PREPAYMENT, and your order will not be fulfilled until the funds are received.
• Returned checks will be charged a $35 fee.
• The parties submit to jurisdiction in the Circuit Court of DuPage County, Illinois as the sole venue to resolve any disputes arising from this agreement.

WHOLESALE PRICES:

Pricing is offered to wholesale customers only. Tiered pricing discounts are available. Pricing is subject to change without notice.

TERMS OF SALE

We accept payment via Credit Card (Visa, Master Card, American Express, and Discover), EFT/Wire Transfer, or Check. First orders are accepted on a prepaid or credit card basis only prior to shipment. Credit card orders must include the account name, account number, billing address, and expiration date.

Credit cards will be pre-authorized prior to preparing orders. Credit cards will be charged for the full product amount plus freight at the time of shipment.

TERMS:

Net 30 terms are offered to customers who have submitted a satisfactory credit application with references - available only for second and subsequent orders.

Net 30, according to our interpretation, means payment is due within 30 days of the invoice date. Future in-house orders will not be released for shipment until all past due balances are paid in full, including finance charges and reasonable cost of collection and attorney fees.

SHIPPING:

Unless otherwise indicated, HEC will determine the most cost-effective shipping method for your order. Freight rates are determined by the weight, dimensions, and density of each different commodity code. Freight quotes are valid for no more than 5 days.

Residential shipments and those requiring special services will incur additional freight charges. These services must be indicated at the time of the order placement.

If HEC is billed for these services after the shipment, we will re-bill the customer for the fees.

• All shipments originate from our warehouse in Addison, IL 60101
• All shipments that require special services such as lift gate, delivery notification, and remote/limited access delivery will be subjected to extra fees at the time of invoice. These services must be indicated at the time of the order placement. Failure to do so will result in a second freight invoice. These fees are charged at the discretion of the carrier and are not dictated by Howard Elliott.
• All freight charges will be added to the final invoice.
• PLEASE INSPECT ALL SHIPMENTS WHEN THEY ARRIVE FOR EXACT COUNT AND DAMAGES PRIOR TO SIGNING FOR YOUR PACKAGES. FAILURE TO DO SO MAY RESULT IN DELAY OR DENIAL OF YOUR RETURN/CREDIT REQUEST.
• NEW! WE OFFER PREMIUM RESIDENTIAL HOME DELIVERY. The customer must choose one of the three service levels below:

Service Level	Description
Threshold	Delivery across the threshold or main entrance of home to an area immediately adjacent to the point of entry
Room Of Choice	Delivery into room of choice including up to two flights of stairs
White Glove	Delivery into room of choice, unpack, and removal of debris

SHIP METHOD & CARRIER:

All shipments will be sent via FedEx/UPS Ground or with one of HEC's designated LTL Freight carriers. If you would like to use your designated carrier, you must provide your 3rd party billing account information and authorization.

HANDLING FEES:

All orders under $500 will incur the following handling fees:

• $10 for shipments via small parcel Fed Ex/UPS.
• $40 for all LTL Shipments

REQUIRED SHIP DATE:

The date when your shipment must leave our facility. We will make every effort to meet this date but cannot guarantee it. Standard shipping times may vary. Expedited shipping will incur additional charges.

SHIP COMPLETE:

If you do not indicate that your order must ship complete, we will ship as ready and backorder unfulfilled portions of an order.

CANCELLATIONS:

• ALL cancellation requests MUST be submitted in writing and sent via email to [email protected].
• Cancellations are confirmed ONLY when HEC replies to the cancellation request and confirms the cancellation. Orders already processed for shipment may not be canceled.
• If a cancellation request is made after the shipment of your order, the return of the order will be subjected to a 25% restocking fee and all shipping charges/fees incurred.

RETURNS:

ALL RETURNS REQUIRE FACTORY AUTHORIZATION.

• Clearly mark this RA# on your return.
• All products being returned must be shipped in original packaging.
• We recommend that your return package is insured.
• Buyer's remorse returns will incur a 25% re-stocking fee plus the customer is responsible for the return shipping charges.
• Credits will not be issued for returns that arrive damaged at our facility.

DAMAGED CLAIMS:

• Please report all damages and shortages within 10 business days of receipt to [email protected]
• Our claim forms can be found under the resources section of www.howardelliott.com.
• Please note on the delivery receipt, in the presence of the driver, any visible damage to the product or packaging.

If the damage is concealed or not noticed until after the driver has left, please provide the following information:

• Order #
• Item #
• Description of damage
• Pictures of damage & packaging.
• Whether or not a Replacement is requested. (A replacement will NOT be sent unless requested.)

• HEC is NOT responsible for filing claims for items damaged shipped via your 3rd party account.
• HEC is NOT responsible for any charges incurred by the customer due to 3rd party services used by the customer for storage or delivery of product.

CREDITS:

All credits for returns and damages will be issued in the form of IN-HOUSE CREDIT after the merchandise has been inspected by HEC.

All credit card information is secured using a standard encryption technology. The encrypted data is transferred over FTPS and is stored at a secured site over SSL. For further security on all accounts, each approved customer can be provided with their own User ID and password. Even though we use encryption and updated technology to secure all information, no data transmission can be guaranteed 100% secure over the Internet or any wireless network.

Minors:

We do not knowingly collect, use or disclose Personally Identifiable Information about visitors that are under 18 years of age.

Policy Changes:

Howard Elliott Inc. reserves the right to modify or amend this Privacy Statement at any time without prior notice. We will post all changes to the Privacy Statement on our website. Modifications and amendments will apply to all past and current users and replace all prior policies. Howard Elliott Inc.’s privacy policy is effective March 1, 2013.
